Welcome to HatcherScore (the “Platform”), owned and operated by Hatcher Plus Pte Ltd (“Hatcher Plus,” “we,” “us,” or “our”). These Terms of Service (the “Terms”) govern your access to and use of the Platform, including any content, functionality, products, and services offered on or through https://hatcherscore.com (the “Site”). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not access or use the Platform.

1. Description of Services

Hatcher Score is an AI-powered deal scoring and filtering platform that helps investors (e.g., venture capital firms, family offices, angel investors) and founders:
‍

• Investors can aggregate and upload internal, founder-supplied, and publicly sourced data on startups. This data is then scored by our predictive service. Investors may share information with their partners and create copies of company profiles.
  ‍
• Founders can create accounts, build company profiles, and upload financials, pitch decks, and other relevant information. Founders may share their profile information with selected investors and can later revoke direct access. However, once shared, an investor may retain a copy of the data.

1.1 Free and Paid Access
‍

Hatcher Score is an AI-powered deal scoring and filtering platform that helps investors (e.g., venture capital firms, family offices, angel investors) and founders:
‍

• Founders use a free account with limited scoring features and can create a single company profile, which can be shared with investors and other partners.
  ‍
• Investors require a paid subscription to access the full suite of scoring features and to see certain information shared by founders.
  ‍

2. Eligibility
‍

• You must be at least 18 years old to use the Platform.
  ‍
• By using the Platform, you represent and warrant that you meet all eligibility requirements and have the legal capacity to enter into a binding contract.

3. Account Registration
‍

• Account Required: You must create an account to use the Platform’s features.
  ‍
• Registration Data: You agree to provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your login credentials.

• Founders’ Information: Founders are solely responsible for the accuracy of all information they provide about their company. Hatcher Score reserves the right (but has no obligation) to remove or request edits of any inaccurate or misleading information.

4. User-Submitted Content
‍

4.1 Company Profiles
‍

• Founders may submit company data (e.g., financials, pitch decks, team info) for review and scoring.
  ‍
• Investors may request or share feedback on a company profile with their partners, but founders will not see these comments.
  ‍

4.2 Rights to Copies
‍

Once a founder grants an investor access to their company profile, the investor may retain a copy of that data even if the founder subsequently revokes access. The investor may share such data with their partners or internal teams at their own discretion.

4.3 License Grant

By submitting content to the Platform, you grant Hatcher Plus a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, transferable license to use, store, reproduce, adapt, publish, translate, create derivative works from, and distribute such content in aggregated or anonymized form for the purpose of improving our predictive models and providing our services.

5 Privacy and Data Usage

‍

• We will handle your personal data in accordance with our Privacy Policy. In particular, we may use your data (in anonymized or aggregated form) to train our predictive AI models.

• To the extent applicable under law, including the EU General Data Protection Regulation (GDPR), you have the right to request deletion or a copy of your personal data by contacting us at hatcherscore@hatcher.com. Please note that:

  • We cannot remove data from derivative works (e.g., AI models) that have already been trained on anonymized data.

  • We cannot guarantee removal of data that is owned by or already in the possession of investor users on the Platform.

6. Subscriptions, Payments, and Refunds

6.1 Investor Subscriptions
‍

• Paid Subscription: Investors are required to maintain an active subscription to use the scoring features and to access certain founder-shared information.
  ‍
• Investors retain access to their scored content even without an active subscription.
  ‍
• Recurring Billing: Subscription fees may be charged on a recurring basis, as disclosed during signup.
  ‍
• Single Score Credits: Investors can purchase a single score credit while maintaining an active subscription.

6.2 Cancellation
‍

• Investors may cancel subscriptions at any time through our payment portal. The cancellation will take effect at the end of the current billing cycle.

6.3 Refund Policy
‍

• We offer a 30-day money-back guarantee for new investor subscriptions less than 90 days old.
  ‍
• A user may claim this refund once every 12 months by emailing hatcherscore@hatcher.com.

7. Termination
‍

• Termination by Hatcher Score: We may suspend or terminate your account at our sole discretion, including for violation of these Terms or any applicable law.

• Termination by You: You may terminate your account at any time by contacting hatcherscore@hatcher.com.
  ‍‍
• Data Retention: Upon termination, you may request a copy or deletion of your data from our servers at any time via hatcherscore@hatcher.com. However, we reserve the right to keep an archived copy of your data unless otherwise requested. Additionally, data will remain within any predictive models in anonymized form. Your data may also remain in backups that are not routinely accessed.

8. Disclaimers

8.1 No Investment Advice

‍

Hatcher Score and Hatcher Plus Pte Ltd do not provide investment advice. Any predictive scores, filtering, or other insights are offered solely as general information to assist investors in identifying potential startups of interest. All investment decisions must be based on your own due diligence and professional advice. We do not guarantee the accuracy, completeness, or reliability of any content on the Platform.

8.2 Disclaimer of Warranties

‍

The Platform, including all content and services, is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, either express or implied. To the fullest extent permissible under applicable law, Hatcher Plus disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

‍

To the maximum extent permitted by law, Hatcher Plus, its officers, directors, employees, agents, affiliates, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including (without limitation) loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of, or inability to access or use, the Platform.

No Liability Whatsoever: You acknowledge that Hatcher Plus’s liability under these Terms shall be zero to the extent permitted by law.

10. Indemnification

‍

You agree to defend, indemnify, and hold harmless Hatcher Plus Pte Ltd (including its current, former, and future officers, directors, employees, agents, and successors) from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) resulting from or arising out of your breach of these Terms or your use of the Platform in violation of any law.

11. Governing Law and Dispute Resolution

‍

• These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflicts of law principles.

• Any dispute, controversy, or claim arising out of or in connection with these Terms shall first be referred to mediation in Singapore, under conditions agreed upon by the parties in good faith.

12. Updates to These Terms

‍

We may revise and update these Terms from time to time. Any changes will be effective immediately upon posting the revised Terms on our Site. We will also notify you via email. By continuing to use or by logging into the Platform after such posting, you agree to the revised Terms.
